Master Terms of Service & User Agreement
These terms constitute a legally binding agreement between you and YouHire, LLC. They govern your access to the marketplace, the operation of our segregated escrow vault, independent creator engagements, intellectual property transfer, and binding dispute resolution.
By registering an account, depositing funds, accepting project contracts, or accessing any service on YouHire (the "Platform", "we", "us", or "our"), you ("User", "Buyer", "Client", or "Creator/Seller") agree to be bound by these Terms of Service ("Agreement").
To be eligible to use the Platform, you must be at least 18 years of age (or the age of majority in your jurisdiction) and possess the legal capacity to enter into binding contracts. If you are registering on behalf of a company, fund, or legal entity, you represent and warrant that you possess the full corporate authority to bind such entity to this Agreement.
2. Nature of the Marketplace (Independent Contractor Model)
YouHire operates as an enterprise digital talent marketplace, communications portal, and cryptographic escrow settlement platform.
YouHire is not an employer, employment agency, joint venture partner, or direct service provider. Creators operate strictly as independent contractors and retain full autonomy over their working hours, methods, and equipment.
Buyers contract directly with Sellers for specific digital deliverables ("Work Product") under separate bilateral service agreements formed upon order confirmation. YouHire's role is strictly limited to providing platform software, maintaining escrow custody of funds, and arbitrating disputes pursuant to Section 11.
3. User Accounts, Verification & Authentication
Users must provide accurate, current, and complete legal information during account creation.
Each individual or corporate entity is permitted exactly one primary account. Account sharing, credential transfer, or unauthorized proxy accounts are strictly prohibited.
You are solely responsible for maintaining the confidentiality of your credentials and multi-factor authentication devices. You must notify platform security immediately if you suspect unauthorized access. YouHire enforces strict Know Your Customer (KYC) identity verification, government document authentication, and beneficial ownership disclosure before approving public seller storefronts, releasing escrow funds, or authorizing payout disbursements.
To become a verified Creator or Seller on YouHire, all members must complete the mandatory 4-Stage Onboarding Protocol:
1. Stage 1 (Identity & KYC Verification): Sellers must verify their official email and submit genuine, unexpired government-issued photo identification (Passport, National ID card, or Driver's License) alongside a biometric liveness check. Fraudulent submissions or synthetic identities result in immediate blacklisting.
2. Stage 2 (Developer Skill Setup & Benchmark Seals): Sellers must accurately represent their technical capabilities, years of experience, and skill tags. Sellers may link or pass in-browser WebAssembly Skill Benchmarks to earn deterministic, cryptographically signed skill seals.
3. Stage 3 (Storefront & Clear Deliverable Catalog): Sellers must configure tiered packages (Basic, Standard, Premium) with defined delivery timelines, revision boundaries, and verifiable delivery artifacts.
4. Stage 4 (Tax Compliance & Payout Authorization): Sellers must submit standard international tax certification (Form W-8BEN for non-US developers or Form W-9 for US entities) and designate a verified payout destination (Bank Wire/IBAN, Payoneer, or PayPal). Storefronts will not be published without certified tax declarations.
To ensure mutual contractual certainty, complete clarity, and eliminate exploitative scope disputes:
1. Mandatory 3-Question Intake: Prior to order confirmation and escrow deposit, Buyers must complete the structured scope intake defining: (a) Explicit Target Completion Deadline, (b) Itemized Deliverables Required, and (c) Required Tech Stack and Technical Boundaries.
2. Structured Scope Checklists: Every order generates an interactive, bilateral Scope Checklist. Both Buyer and Seller must review and confirm each deliverable line item before milestone execution begins.
3. Prohibition of Ambiguity: Vague or undefined milestones (such as "make it look modern" or "unlimited revisions until complete satisfaction") are legally invalid on the Platform.
4. Scope Creep Protection: Revisions are strictly constrained to the deliverable criteria confirmed in the mutual checklist. Changes or expansions beyond the agreed criteria require a formal, funded contract amendment.
To protect both parties against file tampering, unauthorized post-delivery modifications, or disputed asset replacement:
1. Deterministic SHA-256 Fingerprint: Every production archive (.zip), code repository bundle, or master media deliverable submitted through the platform is cryptographically fingerprinted using client-side and server-side SHA-256 hashing.
2. Tamper-Proof Audit Trail: The calculated hash is permanently bound to the Order Ledger and presented to both Buyer and Seller.
3. One-Click Verification: Buyers and Sellers can re-verify downloaded files byte-for-byte at any time. A matching hash confirms that the delivered archive is identical to the exact file approved at milestone sign-off.
4. Dispute Evidentiary Standard: In any milestone arbitration, the file matching the registered SHA-256 cryptographic fingerprint shall serve as the authoritative and unalterable record of delivery.
7. Escrow Custody & 72-Hour Inspection Protocol
All transactions on YouHire must be funded through the YouHire Segregated Escrow Vault.
1. Funding: Prior to the commencement of work on any milestone, the Buyer must deposit 100% of the milestone value into escrow plus the standard 6.00% client escrow protection fee.
2. Custodial Protection: Escrow balances are held in segregated custodial accounts and are never commingled with YouHire's operational funds. Escrow deposits do not accrue interest or investment yield.
3. Delivery & Inspection Period: Upon submission of milestone deliverables by the Seller, the Buyer is granted an inspection window of exactly seventy-two (72) hours. During this period, the Buyer must either:
(a) Approve the deliverable and release funds to the Seller, or
(b) Request concrete revisions consistent with the agreed scope checklist, or
(c) File a formal dispute under Section 13.
4. Automated Acceptance: If a Buyer takes no action and lodges no revision request or dispute within seventy-two (72) hours of deliverable submission, the platform automated protocol will deem the milestone accepted and release net funds to the Seller.
8. Creator Obligations & Quality Benchmarks
Creators listed on YouHire warrant and agree that:
1. Originality: All delivered source code, architectural schematics, graphic assets, and written copy must be 100% original work or utilize explicitly disclosed, commercially permissible open-source licenses.
2. Security & Clean Delivery: Deliverables must be free from malicious code, trojans, cryptominers, unauthorized backdoors, or copyright-infringing assets.
3. Professionalism: Deliverables must satisfy the benchmark specifications defined in the gig listing and order requirements.
4. Timeliness: Work must be completed within the mutually agreed delivery timeline. Unexplained abandonment of active orders constitutes a breach of contract subject to account suspension and fee forfeiture.
YouHire operates on a transparent, pure fee-for-service model with zero predatory financing, zero hidden charges, and clearly published transaction limits:
1. Buyer Escrow Protection Fee (Mandatory): Flat 6.00% added to the base gig price at checkout. Covers segregated custodial vault management, fraud prevention, payment gateway interchange, automated SHA-256 integrity audits, and 24/7 dispute arbitration.
2. Creator Platform Facilitation Fee (Mandatory): Deducted from gross contract earnings upon milestone release based on creator tier:
- Standard Tier: 9.00% platform fee (Creator retains 91.00% net earnings).
- Pro Tier: 7.00% platform fee (Creator retains 93.00% net earnings).
- VIP Titan Tier: 5.00% platform commission (Creator retains 95.00% net earnings).
- Squad Tier: 10.00% platform commission for collaborative multi-creator contracts.
3. Creator Payout Processing:
- Standard Bank Payout (ACH / SEPA / Bank Wire): 0.00% (100% Free, processed within 3-5 business days).
- Instant Card Payout (Optional): 3.00% convenience processing fee ($2.00 minimum, disbursed within 24 hours).
4. Platform Transaction Thresholds & Capital Safety Limits:
- Client Deposits: Minimum $10.00 USD per transaction. Maximum $5,000.00 USD via Credit/Debit Cards; up to $25,000.00 USD via Bank Wire/ACH. Maximum total custodial wallet balance is capped at $50,000.00 USD.
- Creator Withdrawals: Minimum $20.00 USD for Standard Free ACH/Wire transfers; Minimum $10.00 USD for Instant Card disbursements. Standard unverified tier limit is $2,500.00 USD per week; verified Pro and VIP Titan creators enjoy up to $25,000.00 USD per transaction.
- Marketplace Services: Minimum gig listing package is $10.00 USD; Maximum individual service package is $10,000.00 USD. Minimum contract milestone value is $25.00 USD.
- Voluntary Community Relief: Minimum contribution is $5.00 USD (preventing automated micro-spam); Maximum contribution is $1,000.00 USD per contribution.
5. Absolute 0.00% APR & Zero-Penalty Guarantee:
- Absolutely zero compounding late fees, zero debt finance mechanisms, and zero interest-bearing balances.
- Escrow accounts are strictly non-usurious, custodial, and segregated.
Unless explicitly specified otherwise in a bespoke Enterprise Master Services Agreement:
1. Full Ownership Transfer: Upon full and unconditional release of escrow funds to the Seller for an order, the Seller hereby irrevocably sells, transfers, conveys, and assigns to the Buyer all worldwide right, title, and interest in and to the specific deliverables created under that order, including all copyrights, patent rights, trade secret rights, and intellectual property rights therein.
2. Pre-Release Custody: Until escrow funds are completely released to the Seller, legal ownership and copyright of the draft deliverables remain with the Seller. Buyers have no right to use, publish, compile, deploy, or distribute unreleased Work Product.
3. Creator Portfolio Rights: The Seller retains a limited, revocable, non-exclusive right to showcase non-confidential deliverables in their professional portfolio, unless the Buyer has designated the project as confidential or executed a Non-Disclosure Agreement (NDA).
11. Non-Circumvention & Fee Evasion Prohibition
To protect the integrity of the escrow architecture and customer guarantee:
1. Non-Circumvention Period: For a period of twelve (12) months from the date of first contact between a Buyer and a Seller on YouHire, all contracts, milestone extensions, payments, and follow-on engagements between the parties must be transacted exclusively through the Platform.
2. Solicitation Ban: Requesting, encouraging, or facilitating off-platform payments (via direct wire, cash, PayPal, Venmo, cryptocurrency wallets, or external invoices) is strictly prohibited.
3. Enforcement: Any attempt to circumvent platform escrow is a severe violation that will result in immediate permanent account suspension, forfeiture of accrued earnings, and an administrative liquidation fee of up to $2,500 USD to cover audit and forensic costs.
In the event of a disagreement regarding deliverable acceptance or scope fulfillment:
1. Mutual Resolution: Parties are required to first attempt good-faith negotiation using the platform order discussion board.
2. Escrow Freezing: If a dispute is officially lodged by either party, the escrowed funds are frozen and cannot be released or withdrawn by either side.
3. Administrative Tribunal: If the parties cannot resolve the disagreement within 24 hours, the dispute is escalated to the YouHire Neutral Arbitration Desk.
4. 2-Hour SLA Review: Our dedicated technical and legal audit team conducts a forensic review of the agreed requirements, delivered repository or files, commit logs, and message transcripts.
5. Binding Decision: The arbitration ruling is final and binding on both parties. YouHire will distribute the escrowed balance in full or pro-rata based on substantiated delivery.
14. Disclaimer of Warranties, Liability Caps & Indemnification
1. As-Is Service: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied.
2. Limitation of Liability: In no event shall YouHire, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
3. Liability Cap: YouHire's aggregate liability arising out of or related to this Agreement or your use of the Platform shall not exceed the greater of: (a) the total platform fees paid by you to YouHire in the six (6) months preceding the claim, or (b) one hundred US dollars ($100 USD).
4. Indemnification: You agree to indemnify, defend, and hold harmless YouHire and its affiliates from and against any third-party claims, liabilities, damages, losses, and expenses arising from your violation of this Agreement, infringement of third-party intellectual property, or breach of applicable law.
15. Governing Law, Severability & Official Contact
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

1. Direct Support & Owner Intake: Users may submit technical assistance requests, product feedback, or billing inquiries through our Contact Us & Support portal (/contact). Tickets stream directly to the Platform Owner and Executive Admin Panel.
2. Fraud & Scam Escalation: Any user who discovers an attempt at off-platform payment diversion, identity theft, deliverable extortion, or phishing must immediately submit a fraud report via /contact or directly via the "Report Fraud" button in their Order dashboard.
3. Sub-30-Minute Priority Review: Fraud and security alerts receive top operational priority and an expedited review window under our dedicated Security Dispatch Protocol.
4. Whistleblower Safe Harbor: Buyers and creators who proactively report malicious behavior, off-platform solicitation by counterparties, or security vulnerabilities are protected under our Whistleblower Safe Harbor. Reporting users shall suffer zero penalties, negative review repercussions, or loss of escrow standing for bringing misconduct to administrative attention.

By continuing to use YouHire, funding orders, submitting deliverables, or communicating on the platform, you certify that you have read, understood, and consented to these Terms of Service, our Privacy Policy, and our Escrow Settlement Architecture.
